1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and Tiderun AB (“Tiderun”, “we”, “us”, or “our”) governing your access to and use of the Tiderun websites, mobile applications, integrations, APIs, and related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, do not use the Service.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering a binding contract to use the Service. By registering, you represent and warrant that you meet these requirements.
3. Account Registration and Security
- Accurate Information – You agree to provide accurate, current, and complete information during sign-up and to keep it updated.
- Credentials – You are responsible for safeguarding your password and any activities that occur under your account. Notify us immediately of unauthorized access.
- One Account – You may maintain only one personal account unless expressly permitted by Tiderun.
4. Subscriptions, Billing, and Cancellation
- Plans – Some features require a paid subscription (“Subscription”). Plan details, pricing, and permitted usage are described on our Site.
- Billing Cycle – Subscriptions renew automatically at the interval you select (e.g., monthly, annually) until cancelled.
- Payment Method – You authorize us to charge your designated payment method for each renewal. If payment cannot be collected, we may suspend access until resolved.
- Cancellation – You may cancel at any time from your account settings. Cancellations take effect at the end of the current billing period; no refunds are provided for partial periods except where required by law.
- Right of Withdrawal (EU only) – Consumers in the European Union may withdraw from a new Subscription within 14 days of purchase by contacting support. If you have already used chargeable features, we may deduct a pro-rated amount.
5. Permitted Use and User Conduct
You agree not to:
- Violate any applicable law or regulation.
- Reverse engineer, decompile, or disassemble the Service.
- Interfere with or disrupt servers or networks.
- Upload any content that is unlawful, infringing, harassing, misleading, or otherwise objectionable.
- Use automated means (bots, scrapers) to access the Service without prior written consent.
- Use the Service to build a competing product or service.
We reserve the right to investigate violations and suspend or terminate accounts at our sole discretion.
6. User Content
- Definition – “User Content” means any data, text, files, or materials you submit or upload to the Service.
- Ownership – You retain all rights to your User Content.
- License to Tiderun – By uploading User Content, you grant Tiderun a worldwide, non-exclusive, royalty-free license to host, display, and process it solely to provide and improve the Service.
- Responsibility – You represent that you own or have the necessary rights to upload the User Content and that its use within the Service does not infringe any third-party rights or laws.
7. Intellectual Property
All software, features, trademarks, service marks, logos, and content provided by Tiderun (excluding User Content) are and remain the exclusive property of Tiderun or its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service under these Terms.
8. Third-Party Services and Links
The Service may contain links to or integrate with third-party services that are not owned or controlled by Tiderun. We are not responsible for third-party content, policies, or practices. Your interactions with third-party services are solely between you and the provider.
9. Disclaimers
The Service is provided “as-is” and “as available” without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. You use the Service at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law, Tiderun and its affiliates shall not be liable for (a) any indirect, incidental, special, consequential, or punitive damages, or (b) aggregate liability exceeding the greater of €50 or the amounts paid by you to Tiderun in the 12 months preceding the claim. Some jurisdictions do not allow certain exclusions; in such cases, liability will be limited to the smallest extent permitted by applicable law.
11. Indemnification
You agree to indemnify and hold harmless Tiderun, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to (i) your use of the Service, (ii) User Content, or (iii) breach of these Terms.
12. Termination
We may terminate or suspend your access to the Service at any time, with or without notice, if we believe you have violated these Terms or we discontinue the Service. Upon termination, your right to use the Service will cease immediately, but Sections 6–14 will survive.
13. Governing Law and Dispute Resolution
- Governing Law – These Terms are governed by the laws of Sweden without regard to conflicts-of-law principles.
- Consumers in the EEA – You may bring disputes in your local courts.
- Arbitration (non-consumer) – If you are not a consumer, any dispute shall be finally settled under the Rules of Arbitration of the Arbitration Institute of the Stockholm Chamber of Commerce. The language of arbitration shall be English.
- Online Dispute Resolution – EU consumers may access the European Commission’s ODR platform at https://ec.europa.eu/consumers/odr.
14. Changes to These Terms
We may modify these Terms from time to time. Material changes will be notified at least 14 days before taking effect, via email or in-app notice. Continued use after the effective date constitutes acceptance of the revised Terms.
15. Miscellaneous
- Entire Agreement – These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tiderun.
- Severability – If any provision is held invalid, the remaining provisions remain in full effect.
- Waiver – Failure to enforce any provision is not a waiver of future enforcement.
- Assignment – You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
